By submitting an order for snoozies!^® branded products I attest and agree that I, my company or affiliates are purchasing snoozies!^® merchandise only for sale in my/our brick and mortar retail store(s).

I agree that I, my company or affiliates are not purchasing snoozies! merchandise for resale, consignment or trade to other companies or individuals in bulk quantities nor will I, my company or affiliates trade, market, sell nor will we cause snoozies! merchandise to be sold except by the pair resale to individual consumers (not in bulk quantity) in my/our brick and mortar retail store(s).

I agree that I, my company or affiliates will not retail, market, sell, resell or cause to be sold any snoozies! merchandise in kiosks, or at one time or recurring events, trade shows or at consumer and any other type or manner of shows or events.

I agree that I, my company or affiliates will not retail, market, sell or cause to be sold snoozies merchandise in bulk quantities to anyone or any entity under any circumstances.

I agree that I, my company or affiliates, will not retail, market, sell or cause to be sold any snoozies!^® products online on any website, third party or otherwise. I specifically agree that I, my company or affiliates will not retail, market or sell or facilitate or cause to be sold any snoozies! merchandise on eBay, Amazon, Facebook, or on any other online web site.

I further agree that if I, my company or affiliates have an online web site directly affiliated with my/our brick and mortar store and this affiliation is clearly evident by the web site's online address and that we desire to retail, market, or sell snoozies merchandise on this site, we will not do so without first seeking and receiving the express written permission of Buyer's Direct, Inc.

I further agree that I, my company or affiliates understand that online sales and marketing of snoozies!^® branded products and the use of snoozies!^® logos, trademarks or art, in graphic or in photographic form without prior written permission of Buyer’s Direct, Inc. constitutes a legal infringement of the intellectual property rights of Buyer's Direct, Inc., owner of the snoozies!^® brand and trademark. I agree and understand that this prior written permission may be revoked and rescinded at any time.

I also agree that if I, my company or affiliates under any circumstances have violated this Terms of Sale Agreement and Buyer's Direct, Inc. , requests by email or through snail mail correspondence or letter that I, my company or affiliates immediately cease and desist from the activities cited by Buyer's Direct, Inc., we will immediacy comply with all such request(s).

I also agree that if I, my company or affiliates under any circumstances have violated this Terms of Sale Agreement as judged by Buyer's Direct, Inc., and legal action(s) are brought against us by Buyer's Direct, Inc. , I, my company or affiliates will not contest these legal proceedings and agree to any and all financial damages, fines, penalties, attorney's fees, etc. accessed against us by a court of law and agree to compensate Buyer's Direct, Inc. as called for in the court's decision whether these actions are brought against us in the State or North Carolina or in the state or states that I, my company or affiliates may reside or are doing business as determined by Buyer's Direct, Inc.

I , my company or affiliates also agree that if Buyer's Direct, Inc . brings any legal action against me, my company or affiliates, I, my company or affiliates will not contest or challenge these legal actions relative to jurisdiction and that Buyer's Direct, Inc. shall have the option at their sole discretion of bringing these legal proceedings in whatever jurisdiction they deem suitable without having to argue or prove jurisdiction.
